SellOnlineCourse.com is an online Learning Management System (LMS) designed to provide instructors, educators, creators, and knowledge professionals with the tools they need to create, brand, launch, market, manage, and sell online courses and educational content.

Our platform provides a comprehensive course-management solution that enables instructors to focus on creating valuable educational content while we provide the infrastructure and tools required to manage their digital learning business.

Our mission is to contribute to increased literacy, expand knowledge capacity, empower educators and knowledge creators, and support the growth of digital entrepreneurs.

SellOnlineCourse.com is a subsidiary of Elmoor Communication Limited, a registered Information and Communications Technology (ICT) company based in Lagos, Nigeria.

By registering for or using SellOnlineCourse.com, you acknowledge that you have read, understood, and agreed to comply with these Terms of Use and Platform Policies.

2. Acceptance of Terms

By creating an account, subscribing to any SellOnlineCourse.com instructor package, uploading content, purchasing a course, or otherwise using the platform, you agree to be bound by these Terms of Use and any applicable policies published by the Company.

If you do not agree to these Terms, you should not register for, access, or use the platform.

3. Instructor Account and Platform Access

SellOnlineCourse.com provides instructors with access to its LMS platform for the creation, management, promotion, and sale of:

Online courses;
Digital educational resources;
Training programmes; and
Physical or virtual educational events.

Instructors must subscribe to one of the available instructor packages before accessing the applicable instructor features.

4. Subscription and Access

Instructor subscriptions provide access to the platform in accordance with the features and conditions applicable to the selected package.

Subscriptions are renewable annually, subject to the applicable subscription terms and pricing in effect at the time of renewal.

Instructors may create and manage unlimited online courses, subject to compliance with these Terms and any applicable content policies.

The Company reserves the right to modify its subscription packages, pricing, features, and benefits from time to time.

5. Transaction Fees

A transaction fee ranging from 5% to 50% may apply to each successful course transaction processed through the platform.

The applicable transaction fee may depend on the instructor's subscription package, course arrangement, promotional programme, payment method, or other applicable commercial terms.

The applicable fee will be communicated to the instructor and/or reflected in the relevant platform or subscription terms.

6. Instructor Content and Intellectual Property

Instructors retain responsibility for the ownership and legality of the content they upload to SellOnlineCourse.com.

Instructors must only upload and distribute content for which they have the necessary rights, licences, permissions, or authority.

The following are strictly prohibited:

Plagiarised content;
Copyright-infringing materials;
Stolen educational materials;
Content uploaded without appropriate permission;
Fraudulent or misleading educational materials; and
Any content that violates applicable Nigerian law or the rights of third parties.

Where plagiarism, copyright infringement, or other serious intellectual-property violations are identified, the Company may suspend or terminate the instructor's account and may take further legal action where appropriate.

The instructor agrees to indemnify and hold the Company harmless from claims arising from the instructor's unauthorised use, publication, distribution, or sale of third-party content, to the extent permitted by applicable law.

7. Content Management and Platform Security

During the period of an active relationship with the platform, SellOnlineCourse.com will take reasonable measures to manage, protect, and maintain the availability of instructor content hosted on the platform.

However, instructors acknowledge that no online system can guarantee uninterrupted availability, complete protection against cybersecurity incidents, or permanent preservation of data.

Instructors are encouraged to maintain appropriate backup copies of their original course materials.

8. Account Suspension and Termination

SellOnlineCourse.com reserves the right to suspend, restrict, or terminate an instructor's account where the Company reasonably determines that the instructor has:

Violated these Terms;
Violated applicable laws or regulations;
Uploaded infringing or prohibited content;
Engaged in fraudulent activity;
Misused the platform;
Attempted to compromise the security of the platform;
Misrepresented information; or
Engaged in conduct that may adversely affect the Company, its users, or other stakeholders.

Where appropriate, the Company may notify the affected instructor and provide an opportunity to resolve the violation.

The Company may also take immediate action where necessary to protect users, the platform, or its legal and commercial interests.

9. Marketing and Promotion

Instructors are primarily responsible for promoting and marketing their courses.

Paid advertising, social-media campaigns, influencer marketing, email marketing, and other promotional activities undertaken by an instructor shall be at the instructor's expense unless otherwise agreed in writing.

Where SellOnlineCourse.com independently undertakes a paid promotional campaign for an instructor or course, the gross sales generated from such campaign may be shared 50% between the Company and the instructor, subject to the applicable campaign terms agreed upon by both parties.

10. Refund Policy for Instructor Subscriptions

All subscription fees are non-refundable. Once a subscription package has been purchased and payment has been successfully processed, the payment is considered final and will not be refunded, whether or not the subscription is fully utilized.

11. Instructor Support

SellOnlineCourse.com provides instructor support through available communication channels, which may include:

Email;
Telephone calls

Support availability may vary depending on the nature of the request and the instructor's subscription package.

12. Student Course Purchases and Refunds

Unless otherwise expressly stated for a particular course, payments made by students for courses are generally non-refundable.

However, where a student has successfully paid for a course but is denied access to the purchased course, the Company may investigate the matter and take appropriate action against the instructor, including suspension or termination of the instructor's account.

Where appropriate, a refund may be processed to the affected student.

Students are expected to receive access to purchased courses promptly following successful payment.

13. Student Complaints

Students who successfully complete payment but are unable to access a purchased course should report the issue to SellOnlineCourse.com promptly.

14. Instructor Earnings and Settlement

Instructors may receive earnings from course sales in Nigerian Naira (NGN) and United States Dollars (USD), subject to the applicable payment and settlement requirements.

To facilitate payments, instructors may be required to provide:

A valid Nigerian Naira bank account; and
A valid domiciliary USD bank account, where applicable.

Instructors are responsible for ensuring that their banking information is accurate and up to date.

15. Payment Settlement

Successful course sales will be recorded and accounted for between SellOnlineCourse.com and the relevant instructor.

Subject to successful payment verification and applicable deductions:

Naira settlements: generally processed within 24 hours.
USD settlements: may take up to 7 business days.

Settlement times may vary due to banking procedures, payment-provider processing, weekends, public holidays, compliance checks, technical issues, or circumstances outside the Company's reasonable control.

16. Student Payment Methods

SellOnlineCourse.com provides students with convenient payment options that may include:

Debit and credit card payments;
Bank transfers;
USSD payments;
VISA QR payments; and
Other payment methods made available on the platform from time to time.

Available payment methods may vary depending on the student's location, payment provider, transaction currency, and other applicable factors.

17. Lifetime Course Access

Unless otherwise stated on the applicable course sales page, courses purchased through SellOnlineCourse.com are intended to remain accessible to the purchasing student on an ongoing basis, subject to:

The continued availability of the platform;
The instructor's continued compliance with these Terms;
The legality and availability of the course content; and
Circumstances beyond the Company's reasonable control.

Courses may be accessed from locations around the world where the platform is available and where access is legally permitted.

18. Prohibited Activities

Users must not use SellOnlineCourse.com to:

Upload, distribute, or sell unlawful content;
Infringe the intellectual-property rights of another person or organisation;
Engage in fraud or deceptive activities;
Circumvent platform security measures;
Attempt to gain unauthorised access to another user's account;
Introduce malicious software or harmful code;

20. Limitation of Platform Responsibility
